Forming the Limited Liability Company

A Limited Liability Company is formed with the secretary of state.  These articles must include the name and address of the company and the name and address of its initial registered agent. The form of management defaults to member managed unless otherwise provided in the articles of organization or the operating agreement. We often include provisions that describe the obligations and restrictions of the owners.  This can protect the Limited Liability Company from liability for unauthorized actions.
Members of a limited liability company create operating agreements that create the rules of how the company will operate.  The operating agreement is similar to a corporations shareholders agreement and bylaws.
